Terms of Service

These Terms of Service govern your engagement with ITDJM Solutions Inc. By requesting or using our services, you agree to the terms below. This page is intended to provide clear, business-friendly expectations for software development and consulting engagements.

1. Services Provided

ITDJM Solutions Inc. provides custom software development, web and cloud solutions, API integrations, IT consulting, and ongoing maintenance support. Each engagement is defined by a written proposal, statement of work, or master services agreement that specifies deliverables, timelines, and scope.

2. Client Responsibilities

  • Provide accurate requirements, business context, and timely feedback for approvals.
  • Assign a primary point of contact to coordinate decisions and priorities.
  • Supply content, credentials, and access needed to perform the services securely.

3. Payment Terms

Fees are outlined in your agreement and billed per milestone, monthly retainer, or time and materials. Invoices are due within the timeframe listed on the invoice. Late payments may result in project pauses or suspension of support services until the balance is current.

4. Intellectual Property

Upon full payment, you receive ownership or a license to the custom deliverables described in the agreement. Pre-existing tools, frameworks, and reusable components created by ITDJM Solutions Inc. remain our property and may be used in other projects. Third-party software is subject to its respective licenses.

5. Limitation of Liability

ITDJM Solutions Inc. is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. Our total liability is limited to the fees paid for the services giving rise to the claim. We strive to deliver enterprise-grade quality and provide reasonable remediation when issues are reported.

6. Communication & Support

Project communication occurs via agreed channels such as email, meetings, and project management tools. Support response times and service levels are defined in your agreement. For urgent requests, clients are encouraged to use the designated escalation path.

7. Changes & Termination

Scope changes require written approval and may affect cost and schedule. Either party may terminate an engagement with written notice as outlined in the agreement. All work completed through the termination date remains billable.
